Terms of Service

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you and VEDANSH.AI LTD., a company incorporated in British Columbia, Canada ("Arogya", "we", "us", "our"), governing your use of the Arogya Wellness mobile application for iPhone and Apple Watch and any related services (together, the "Service").

By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy describes how we handle your information and forms part of these Terms.

2. Not medical advice

Arogya is a wellness application. It is not a medical device, and it does not diagnose, treat, cure, prevent, or monitor any disease or medical condition.

The Arogya Index, dosha assessments, sound sessions, and daily guidance are general wellness content intended to support self-reflection and healthy routines. They are not clinical measurements, diagnostic results, or treatment recommendations, and they have not been evaluated or approved by Health Canada, the U.S. Food and Drug Administration, or any other regulatory authority.

Arogya draws on Ayurveda, a traditional system of wellness practice. Traditional concepts such as dosha balance are used here as a framework for general wellbeing and lifestyle reflection. They are not medical diagnoses and should not be understood as such.

Arogya is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a physician or other qualified health provider with any questions you have about a medical condition, symptom, medication, or treatment. Never disregard professional medical advice, and never delay seeking it, because of anything you have read or seen in Arogya.

If you think you may have a medical emergency, stop using the Service and contact your local emergency services immediately.

Consult a qualified health professional before acting on any guidance in Arogya, and particularly before changing your diet, exercise, sleep, or medication routine, if you are pregnant or nursing, if you have a diagnosed medical condition, or if you are taking prescription medication.

2.1 About the health data Arogya uses

Arogya reads data you have chosen to share from Apple Health: heart rate variability, resting heart rate, blood oxygen, sleep, steps, date of birth, and biological sex. This data is generated by consumer devices for general fitness and wellness purposes. It is not clinical-grade, it is not validated for medical use, and it may be inaccurate or incomplete. Arogya's scores and guidance are derived from it and inherit those limitations.

Arogya does not detect, alert you to, or monitor any medical condition, and you should not rely on it to do so. An unremarkable Arogya Index does not mean you are healthy, and a low one does not mean you are unwell.

2.2 About AI-generated guidance

Daily guidance in Arogya is generated by an artificial intelligence service. AI-generated content can be inaccurate, incomplete, or unsuitable for your particular circumstances, and it is not reviewed by a health professional before you see it. Treat it as general wellness suggestion, apply your own judgment, and disregard anything that does not feel right for you.

3. Eligibility

You must be at least 18 years old to use the Service. By using it, you represent that you are 18 or older.

The Service is not directed to children, and we do not knowingly collect personal information from anyone under 18. If we learn that we have collected information from a person under 18, we will delete it. If you believe a person under 18 has provided us with information, contact us at info@getarogya.com.

We confirm your date of birth during setup to check eligibility. Where Apple Health holds your date of birth and you have granted permission, we read it from there; otherwise we ask you to enter it. We retain only an age bucket, not your date of birth.

4. Your account

Accounts are created and accessed exclusively through Sign in with Apple. There is no password to set or remember, and we never receive one.

You are responsible for maintaining the security of the Apple Account you use to sign in, and for activity that occurs under your Arogya account. Notify us at support@getarogya.com if you believe your account has been accessed without your authorization.

We do not store your name. One account per person; do not share your account.

5. Health data and permissions

Arogya asks your permission to read specific categories of data from Apple Health. You control that permission and may withdraw it at any time in the Health app or in iOS Settings. Withdrawing it will limit or disable parts of the Service.

Arogya only reads from Apple Health. It does not write any data to your Apple Health profile, and it does not itself measure or record biometrics — including during a sound session. The Apple Watch app displays readings that Apple Health already holds.

How we process your health data, and the legal basis for each purpose, is described in our Privacy Policy. In summary: health data is processed on your device to produce your Arogya Index and daily guidance, which are core functions of the Service. Storing derived wellness data on our servers to improve our recommendations is separate, optional, and based on your consent, which you may withdraw at any time — see section 7.

6. Subscriptions and billing

Arogya offers an auto-renewing subscription with monthly and annual options, including a 14-day free trial for new subscribers. Prices vary by country and are set per territory. The price, billing period and renewal terms that apply to you are shown in the App Store and in the app before you confirm a purchase. Some features are available without a subscription; the boundary between free and paid features may change.

6.1 Auto-renewal

Payment is charged to your Apple Account at confirmation of purchase. Your subscription renews automatically at the same price and for the same period unless you turn off auto-renewal at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within 24 hours before the current period ends.

6.2 Managing and cancelling

You can manage your subscription and turn off auto-renewal in your Apple Account settings. Arogya cannot cancel your subscription, change your plan, or issue refunds on your behalf.

If you start a free trial and then purchase a subscription, any unused portion of the trial is forfeited.

6.3 Deleting your account does not cancel your subscription

This is important. Your subscription is held by Apple against your Apple Account, not by us. We do not store a record of your purchases against your Arogya account. Deleting your Arogya account therefore does not cancel your subscription, and it will continue to renew until you cancel it through Apple.

If you do not want to be charged again, cancel your subscription through Apple before requesting account deletion.

6.4 Payments and refunds

All purchases are processed by Apple. We do not receive, process, or store your card number, security code, or billing address, and we cannot issue refunds.

Refund requests are handled by Apple under the Apple Media Services Terms and Conditions. Use "Report a Problem" at reportaproblem.apple.com.

Consumers in the European Union, the United Kingdom, and other jurisdictions with statutory withdrawal or cancellation rights may exercise those rights through Apple as the seller of record. Nothing in these Terms limits those rights.

6.5 Price changes

We may change subscription prices. Price changes take effect at the start of the next subscription period following notice, and Apple will seek your consent where required. If you do not agree to a new price, cancel before it takes effect.

7. Optional AI training

Arogya includes an optional setting — "Help improve Arogya", in your Profile — that allows your derived wellness data to be used to improve our recommendation engine. It is off by default, entirely optional, and you may turn it on or off at any time.

This setting has no effect on your subscription, your price, or the features available to you. We do not offer discounts, credits, or additional functionality in exchange for enabling it, and turning it off will not reduce the Service you receive.

Data collected under this setting is deleted automatically 60 days after collection, and immediately if you turn the setting off, delete that data, or delete your account.

Daily guidance is a core function of the Service and is not affected by this setting.

8. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose, or in a way that infringes anyone's rights;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except where that restriction is prohibited by law;
  • interfere with the Service, circumvent its security, or attempt unauthorized access to our systems or another user's data;
  • use automated means to access the Service, extract data from it, or create derivative works from its content;
  • resell, sublicense, or commercially exploit the Service or its content; or
  • submit false information, including a false date of birth.

9. Intellectual property

The Service, including the Arogya Index methodology, the dosha assessment, the audio sessions, the software, the design, and all text and graphics, is owned by VEDANSH.AI LTD. or our licensors and is protected by intellectual property law.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial wellness purposes. All rights not expressly granted are reserved.

Your health data and your assessment responses remain yours. We do not claim ownership of them.

10. Third-party services

The Service depends on third parties, including Apple for authentication, distribution, and payment, and service providers for data storage, AI-generated content, analytics, and diagnostics. These are described in our Privacy Policy.

We are not responsible for third-party services, and your use of them may be governed by their own terms. Interruption or discontinuation of a third-party service may affect the Service.

11. No advertising

We do not display advertising in the Service, and we do not sell your personal information or share it for cross-context behavioural advertising.

12. Availability and changes

We may modify, suspend, or discontinue the Service or any feature at any time. We will give reasonable notice of material changes where practicable.

The Service is provided on an "as available" basis. It may be unavailable during maintenance, or because of a fault, a network problem, or a third-party outage.

If we discontinue the Service entirely, we will give reasonable notice and you will not be charged for any period after discontinuation.

13. Deleting your account and termination

You may delete your Arogya account at any time from within the app.

Deletion follows a 7-day grace period. Your sessions are ended and you are signed out immediately, and your data is permanently deleted 7 days after your request. During those 7 days you may cancel the deletion by signing in and confirming that you want to keep your account. Signing in alone does not cancel the deletion.

See section 6.3: deleting your account does not cancel your subscription.

We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service. Where practicable and lawful, we will give notice and an opportunity to remedy the breach.

Sections 2, 9, 14, 15, 16, 17, and 18 survive termination.

14. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.

We do not warrant that the Service will meet your requirements, that the Arogya Index or any guidance will be accurate or suitable for you, or that any particular wellness outcome will result from using it.

Some jurisdictions do not allow the exclusion of implied warranties. In British Columbia, nothing in these Terms excludes or limits any warranty, condition, or remedy under the Business Practices and Consumer Protection Act or other applicable consumer protection legislation. Where such legislation applies, the exclusions above apply only to the extent permitted by it.

15. Limitation of liability

To the maximum extent permitted by law, VEDANSH.AI LTD. and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or anticipated savings, arising out of or relating to your use of or inability to use the Service, however caused and on any theory of liability.

Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) CAD $100.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you, and nothing here affects your statutory rights as a consumer.

16. Indemnity

You agree to indemnify and hold harmless VEDANSH.AI LTD. and its directors, officers, employees, and agents from any claim, demand, loss, or expense, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right. This does not apply to the extent the claim arises from our own breach or negligence, and it does not apply where prohibited by applicable consumer protection law.

17. Dispute resolution

17.1 Talk to us first

If you have a dispute with us, contact us at support@getarogya.com with a description of the problem and the resolution you are seeking. We will attempt in good faith to resolve it. Neither of us will start court proceedings for 30 days after that notice, except to seek urgent injunctive relief, or where a limitation period would otherwise expire.

17.2 Courts

If we cannot resolve the dispute informally, it will be resolved in the courts of British Columbia, Canada, and you and we submit to the jurisdiction of those courts.

This does not deprive you of any right to bring proceedings in the courts of your country of habitual residence where applicable law gives you that right, and it does not prevent either of us from bringing a claim in small claims court.

There is no mandatory arbitration clause in these Terms.

18. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in that province, without regard to conflict-of-law principles.

Nothing in this section deprives you of the protection of any mandatory provision of the consumer protection law of your country of habitual residence.

19. Changes to these Terms

We may update these Terms. If a change is material, we will give reasonable notice through the app or by email before it takes effect, and we will update the "Last updated" date above.

Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the Service and delete your account — and cancel your subscription through Apple.

20. General

Severability. If any provision is found unenforceable, the rest remains in effect and the unenforceable provision is modified to the minimum extent necessary.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms. We may assign them to a successor in connection with a merger, acquisition, or sale of assets, on notice to you.

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.

Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control.

Language. These Terms are drafted in English. Where we provide a translation, the English version governs to the extent permitted by law.

Schedule A — Apple App Store terms

These Terms apply to your use of Arogya on Apple devices, in addition to the Apple Media Services Terms and Conditions.

  1. Acknowledgement. These Terms are between you and VEDANSH.AI LTD. only, not with Apple Inc. VEDANSH.AI LTD., not Apple, is solely responsible for Arogya and its content. These Terms do not provide usage rules for Arogya that conflict with the Apple Media Services Terms and Conditions.
  2. Scope of licence. Your licence is a non-transferable licence to use Arogya on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
  3. Maintenance and support. VEDANSH.AI LTD. is solely responsible for providing maintenance and support for Arogya. Apple has no obligation to furnish any maintenance or support.
  4. Warranty. VEDANSH.AI LTD. is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If Arogya fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of Arogya to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to Arogya.
  5. Product claims. VEDANSH.AI LTD., not Apple, is responsible for addressing any claims relating to Arogya or your possession or use of it, including product liability claims, any claim that Arogya fails to conform to a legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation, including in connection with Arogya's use of the HealthKit framework.
  6. Intellectual property. In the event of any third-party claim that Arogya or your use of it infringes that third party's intellectual property rights, VEDANSH.AI LTD., not Apple, is solely responsible for the investigation, defence, settlement, and discharge of that claim.
  7. Legal compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  8. Developer name and address. Arogya is published by VEDANSH.AI LTD., 422 Richards St, Suite 170, Vancouver, British Columbia V6B 2Z4, Canada. Questions, complaints, and claims regarding Arogya should be directed to support@getarogya.com.
  9. Third-party terms. You must comply with any applicable third-party terms of agreement when using Arogya.
  10. Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
